Terms of Service

1. Agreement to these terms

These Terms of Service (the "Terms") govern your use of the propertysyncai.com website (the "Site") and, in combination with any signed order or service agreement, the PropertySync AI service (the "Service"), each operated by HummingAgent ("HummingAgent," "we," "us," or "our"). By accessing the Site or using the Service, you agree to these Terms. If you use the Site or Service on behalf of a company, you represent that you have authority to bind that company, and "you" refers to that company. If you do not agree with these Terms, do not use the Site or Service.

2. The Service

PropertySync AI provides an AI-powered voice assistant for property management operations, including answering inbound calls, capturing maintenance requests, classifying urgency according to client-defined escalation rules, routing emergencies to client-designated contacts, handling leasing inquiries and tour scheduling, sending client-approved communications, and producing activity summaries and owner reports. The specific scope, coverage hours, configuration, and fees for the Service are defined in a separate written proposal or agreement between HummingAgent and each client. In the event of a conflict between these Terms and a signed service agreement, the signed agreement controls for the Service.

3. Client responsibilities

As a client of the Service, you agree to:

  • Provide accurate configuration information, including property details, escalation rules, and current on-call contact information, and keep that information up to date;
  • Ensure that you have the right to route your phone lines to the Service and to share tenant and property information with us for the purposes described in our Privacy Policy;
  • Provide any notices to tenants and callers that applicable law requires of you as a property manager or owner;
  • Review call summaries, work orders, and reports and remain responsible for the operational decisions you make based on them;
  • Use the Service only for lawful purposes and in compliance with applicable laws, including telemarketing, call recording, fair housing, and landlord-tenant laws.

4. Emergencies and limits of the Service

The Service routes calls and notifications according to the escalation rules you define, but it is not an emergency service and is not a substitute for 911 or other emergency responders. You are responsible for defining appropriate escalation rules, maintaining reachable on-call contacts, and responding to emergencies at your properties. The assistant instructs callers to contact emergency services when a situation presents danger to life or property, and you acknowledge that telephone networks, third-party carriers, and internet services can experience outages beyond our control.

5. AI-generated content and disclosure

The Service uses artificial intelligence to conduct conversations, transcribe audio, classify requests, and draft summaries. Callers are informed that they are speaking with an AI assistant. AI outputs can contain errors or omissions, and transcription accuracy can be affected by audio quality. You agree to apply reasonable review to AI-generated summaries and classifications before relying on them for significant decisions, and to notify us of recurring errors so we can correct the configuration.

6. Fees and payment

Fees for the Service are set out in your proposal or service agreement and are scoped per portfolio. Unless otherwise agreed in writing, fees are billed in advance for each service period, are payable upon receipt of invoice, and are non-refundable except as expressly stated in your agreement or required by law. We may suspend the Service for accounts with overdue balances after reasonable notice.

7. Intellectual property

The Site, the Service, and all related software, models, designs, and content are owned by HummingAgent or its licensors and are protected by intellectual property laws. We grant clients a limited, non-exclusive, non-transferable right to use the Service during the term of their agreement. You retain all rights to the data you provide to us and to the call records produced for you; you grant us a license to process that data as needed to provide the Service and as described in our Privacy Policy. You may not copy, modify, reverse engineer, resell, or create derivative works of the Service except as permitted by law.

8. Acceptable use

You agree not to:

  • Use the Site or Service to violate any law or the rights of any person, including tenants and callers;
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems;
  • Interfere with or disrupt the integrity or performance of the Site or Service;
  • Use the Service to record calls without the disclosures required by applicable law;
  • Misrepresent the Service to callers as a human answering service.

9. Privacy

Our collection and use of personal information through the Site and Service is described in our Privacy Policy, which is incorporated into these Terms by reference.

10. Disclaimers

The Site is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, HummingAgent disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site or Service will be uninterrupted, error-free, or that every call will be completed, transcribed, or classified without error. Any service level commitments applicable to the Service are those stated in a signed service agreement.

11. Limitation of liability

To the maximum extent permitted by law, HummingAgent will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or property damage arising from or related to your use of the Site or Service, even if we have been advised of the possibility of such damages. To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Site or Service will not exceed the amounts you paid to HummingAgent for the Service in the twelve months preceding the event giving rise to the claim, or one hundred United States dollars for claims relating solely to the Site. Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless HummingAgent and its officers, employees, and agents from claims, damages, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms, your violation of applicable law in connection with your use of the Service, or disputes between you and your tenants, owners, vendors, or callers, except to the extent caused by our breach of these Terms.

13. Term, suspension, and termination

These Terms apply while you use the Site or Service. Service terms and termination rights are set out in your service agreement. We may suspend or terminate access to the Site or Service for material breach of these Terms after reasonable notice where practicable. Upon termination of the Service, we will make your call records available for export for a reasonable period as described in your agreement, after which we will delete or de-identify them consistent with our Privacy Policy.

14. Changes to these terms

We may update these Terms from time to time. When we do, we will revise the effective date above and post the updated Terms on this page. Material changes affecting active clients will be communicated directly. Continued use of the Site or Service after an update constitutes acceptance of the revised Terms.

15. Governing law and disputes

These Terms are governed by the laws of the United States and the state identified in your service agreement or, for Site-only matters, the state in which HummingAgent is organized, without regard to conflict of laws principles. The parties will first attempt in good faith to resolve any dispute informally by contacting each other. Any dispute that cannot be resolved informally will be brought in the state or federal courts of the applicable jurisdiction, and each party consents to their jurisdiction and venue.
